Capital structure
Upon the effectiveness of Fort Technology's listing on the Nasdaq Stock Market, the Company's August 2025 convertible debentures (US$3,630,513 principal) convert into common shares and warrants, and contingent right shares are issued to Nexera Technologies Ltd. Following the listing, Nexera holds approximately 70.94% of Fort Technology's issued and outstanding common shares.

Nexera's holding may increase further upon achievement of the contingent right share revenue milestones described in our Form 20-F/A.
